The terms, in plain English.

By using Praktend you agree to a small set of fair, mutually protective terms. We operate inside your accounts on your behalf. You can leave any time. We can decline any time. The only legal magic is plain reading.

02  ·  What this is

An operating agreement.

Praktend is software and human operations that act on your behalf inside accounts you own (Google Workspace, QuickBooks Online, OpenDental, payer portals, etc.). These terms govern (a) your use of the Praktend web application at app.praktend.com and (b) any operations Praktend performs on your behalf in connected systems.

You ("Customer") and Praktend ("we") agree that the relationship is operational, not advisory. Praktend executes work you direct. We do not provide medical advice, legal advice, tax advice, accounting opinions, or financial planning. Where domain expertise is required (a CPA's sign-off, a lawyer's review, a clinician's judgment), you remain responsible for engaging the appropriate licensed professional.

03  ·  Your account, your control

You own the keys. Always.

Every system Praktend touches is connected through credentials you grant and can revoke at any time:

OAuth grants (Google, Intuit/QuickBooks, Microsoft, etc.) live in your accounts. You can disconnect Praktend from any of them in one click.

Direct credentials for portals without OAuth (insurance payers, banking) are stored in your password manager. You grant operations access on a per-task, least-privilege basis.

You retain administrative ownership of every connected account. Praktend never holds the only set of keys. If you fire us today, you keep working tomorrow.

04  ·  Acceptable use

What you won't do.

You agree not to use Praktend to:

(a) Violate any law, regulation, or third-party right (HIPAA, state dental practice acts, payer contracts, employment law, consumer-protection rules).

(b) Process data you don't have legal authority to process - including patient PHI from practices you don't operate, employee data from people who haven't been notified, or financial records you don't have permission to access.

(c) Attempt to reverse-engineer, scrape, or replicate Praktend's software for the purpose of building a competing product.

(d) Use Praktend to send unsolicited marketing communications outside the bounds of TCPA, CAN-SPAM, and your existing patient-consent records.

(e) Bypass usage limits, share login credentials with parties outside your practice, or impersonate another customer.

If you do any of these, we may suspend the account immediately and work with you on a remediation plan or wind-down.

05  ·  Fees and billing

Monthly. Cancellable.

Praktend bills monthly per the rate sheet you signed at engagement start. Charges renew automatically each month. Cancel any time from the Settings → Billing page or by emailing chris@praktend.com - cancellation is effective at the end of the current billing period.

We do not pro-rate refunds for partial months. We do refund any duplicate charges and any charges incurred after a clean cancellation request was on file.

Pass-through costs (third-party API fees, postage, shipping, paid ads spend, contracted vendors) are billed at cost or at the rate stated on your engagement letter, whichever is explicit.

How Praktend handles your data, your patients' data, and what walks with you when we part ways is documented in plain English on the privacy page. That document is incorporated by reference into these terms.

If you are a HIPAA-covered entity, a signed Business Associate Agreement at /legal/baa is required before any PHI flows through Praktend systems. The full BAA text is published at that stable public URL. Executed copies are available within one business day from legal@praktend.care.

07  ·  Warranties and the absence thereof

What we can and can't promise.

We promise to operate in good faith, to be honest about what's working and what isn't, and to fix issues we cause as quickly as practical. We promise to keep your credentials secure, to delete them when you ask, and to never sell or resell your data.

We cannot promise that a third-party system (Google, Intuit, OpenDental, a payer portal) will be available, accurate, or behave as documented. When those systems fail or change, we adapt as quickly as we can, but downtime in third-party APIs is outside our control.

The service is provided "as-is" and "as-available." To the maximum extent permitted by law, Praktend disclaims all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

08  ·  Limitation of liability

Capped at fees paid.

To the maximum extent permitted by law, Praktend's total liability for any claim arising out of or relating to these terms is capped at the fees you paid Praktend in the twelve months preceding the event giving rise to the claim.

Neither party is liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost data, even if advised of the possibility of such damages.

Nothing in this section limits liability for fraud, willful misconduct, or anything else that cannot lawfully be limited.

09  ·  Term, termination, and what survives

Either party. Any time.

These terms are effective the first day you use Praktend and continue until either party terminates. Either party may terminate for any reason on thirty days' written notice (email to chris@praktend.com counts as written notice). Either party may terminate immediately for material breach not cured within fourteen days of notice.

On termination: your access ends, your credentials are revoked from Praktend systems, and any data Praktend holds on your behalf is returned or deleted per the privacy page. Sections 04 (acceptable use), 07 (warranties), 08 (liability), 11 (governing law), and any payment obligations accrued before termination survive.

10  ·  Changes to these terms

Notified before they bind you.

If we change these terms in a way that affects your rights, we will email you at the address on file at least thirty days before the change takes effect. Continued use of Praktend after the effective date constitutes acceptance. If you object, you may cancel under section 09.

11  ·  Governing law

Colorado.

These terms are governed by the laws of the State of Colorado, without regard to its conflict-of-laws principles. Any dispute that the parties cannot resolve in good faith is subject to the exclusive jurisdiction of the state and federal courts located in El Paso County, Colorado, and both parties waive any objection to that venue.
